TERMS AND CONDITIONS OF USE

These are the terms and conditions under which we (Primly Premium Solutions Ltd, hereinafter referred to as “PPS”) provide Safety on-the-go App services to you (subscriber). PPS and the Subscriber shall be jointly referred to as the “Parties”

Please read these terms and conditions carefully before you subscribe to our services, as they will inform you about our services, the extent of our liability to you and any amendments or termination hereof.

Note: When Signing up for any of the Safety on the go app services, you are entering into a binding contract with us and therefore accept the terms and conditions of use mentioned below.

You can always access the terms of your contract with us for our services on the Safety on the go App.

1.         Registration and creation of Safety on The Go account:

a.         In order for you to enjoy the full extent of our services, you will be required to

            i) Download the app on Play store/IOS store

ii) Register online and create a user account with us

iii) Make payment and

iv) Receive services as listed under Section 5ai.

b.         Once you register online, we shall send you an OTP Verification Code

c.         The Code sent to you will only be valid for 24 hours from the time it is sent to you. Failure to use the Code within this stipulated time will invalidate your registration.

d.         Once your account has been created you will be required to make a payment through our app in order for you to have access to the various services we offer.

2.         Commencement of contract

a.         The contract between us and in respect of our services on the safety on the go App will come into effect the moment we confirm your in-app payment for your subscription to our services.

3.         Personal Information 

a.         In order to provide you with the safety on-the-go App services, we will require certain personal information from you. Please ensure that you provide us with the provided information accurately and within a reasonable time, failure to do so may lead to the termination of this contract. Failure to provide us with this information accurately will lead to all liabilities being yours to bare.

4.         Contract Changes & Cancellations

a.         PPS reserves the right to make minor changes to the contract on our website to reflect changes in any relevant laws or regulatory requirements and or to implement minor technical adjustments and improvements to the way we deliver our services to you.

b.         We may also make more significant changes to our terms of service, following which we will notify you of such changes as soon as practicable and within a reasonable time.

c.         Should you no longer wish to subscribe to our services as a result of the changes we make in our terms of service, then you can cancel your contract with us by sending an e-mail stating your intentions to cancel to safetyonthego@primlypremiumsolutions.com.ng.

PLEASE READ THESE PARAGRAPHS CAREFULLY AS THEY EXPLAIN WHAT OUR SERVICES ARE, THE EXEMPTIONS THAT APPLY AND YOUR OBLIGATIONS IN RELATION TO OUR SERVICES.

5.         Our Services and Obligations

a.    This section provides information about some of the Service features that may be available for you to use or subscribe to. Once we accept your user account registration, we agree to provide the following services to you for a fee under the following terms and conditions;

i.   Application Features:

  • Sending Emergency alerts to contacts and people who use the app.
  • Share real-time location on app user's whereabouts
  • Create groups with friends, family and selected individuals using the app to be notified when in any form of emergency
  • Online Access to the nearest emergency responders' location
  • Access to an Emergency Alarm which can be triggered when in any form of danger
  • Viewing informational Security Related Resources

ii.  We shall from time to time, as much as the law permits, make that information available to emergency responders who may use the information to be of help in distressing situations. Kindly refer to our privacy policy for more details about how your information may be used or shared.

iii. You are obligated to provide us with accurate information about yourself and your whereabouts in order for us to provide you with our services as best as we can.

iv. Our services are provided without warranties of any kind, whether express or implied. Subscribing to our services shall not confer on you any special protection by law enforcement agencies and or emergency responders. Your use of our services also does not guarantee timely intervention by law enforcement agencies and emergency responders.

 6. System Maintenance

a.         Whilst we stand on our commitment to making sure our services are available to you at all reasonable times, we cannot guarantee a round-the-clock availability as we may from time to time take our services offline for maintenance purposes.

b.         Whilst we undertake to do our best to provide a safe environment for users on our website and applications, we do not guarantee holistic viral and bug-free protection and therefore urge users to use appropriate cyber protection software on the devices they use to visit our website and access our services.

7.         Charges for Our Services

a.         Our services will be provided to you for a fee, such fees representing charges for subscription to our safety on the go app. If you elect to use features of the Service that have charges or subscriptions (“Subscription”) you agree to the applicable pricing and payment terms. Please note that PPS may add new features for additional fees and charges, or amend fees and charges for existing features, at any time in its sole discretion. 8.         Duration of Services

a.         Upon subscription you will be given access to our services through our app.

b.         Our services will only be available to you for the length of time for which you have validly subscribed. Upon the expiry of your subscription, it will automatically renew (at the duration selected) unless auto-renew is turned off at least 24 hours before the end of the current period, in this instance we will automatically discontinue to provide you with our services.

c.         Prior to the expiration of your access to our services, we shall give you timely notice and provide you with an option to renew your subscription should you choose to. Current subscription may not be cancelled during the active subscription period; however, you can manage your subscription and/or turn off auto-renewal by visiting your Account Settings after purchase.

Any unused portion of a free trial period will be forfeited when the user purchases a subscription to that publication. Users can manage and cancel subscriptions in their account settings on the App.

d.         If you no longer wish to receive our services, you may communicate your intention to cancel by sending a request to us at safetyonthego@primlypremiumsolutions.com.ng.

We will administer this change within a reasonable time. Please note that in the event that you decide to cancel at your own volition, you will not be eligible for a refund of any amount paid as subscription fees.

9.         Our Rights to Cancel

a.         PPS reserves the right to cancel or end the contract between us on the following grounds:

i.          When we are convinced that you have misused our services. For the purposes of this contract a misuse shall include but is not limited to situations where you use our services in a way which is not permitted by the law and by these terms and conditions or where there is fraud or reasonable grounds to suspect fraud;

ii.         When we have changed our terms of service and you do not agree with the changes made; or

iii.       If any payment that you owe us is declined, rejected or reversed.

10.       Password Security

a.         We reserve the right to require you to change any or all of the passwords used by you in connection with your user account on our website and or our safety on the go app.

11.        Copyright & Intellectual Property

a.         You hereby acknowledge and agree that all copyright, trademarks and all other intellectual property rights on our website, on the safety on the go app and or relating to our services and all aspects of them are owned by us.

12.       Prior Understandings

a.         These terms of service embody the entire agreement and understanding between parties hereto and supersede any and all prior agreements, arrangements and understandings relating to the use of our services herein.

b.         We undertake to provide our services to you adhering to the terms set forth using reasonable care and skill.

c.         Kindly note that if you use our services for any commercial, business or re-sale purpose we will have no liability to you for any loss of profits, loss of or damage to reputation, loss of contracts, loss of opportunity, loss of business, loss or depletion of goodwill or any other loss you may purport to have suffered.

13.       Data Protection & Privacy Policy

a.         In order to discharge our contractual obligations towards you we will collect personal information in connection with your use of our services and our website. 14.       Customer Complaints Procedure

15.       Force Majeure

a.         We shall be under no liability for any delay or failure to deliver our services or otherwise perform any obligation under these terms and conditions if the delay or failure is caused by circumstances beyond our reasonable control.

16.       Severability

a.         If it is found in a final judgment by a court of competent jurisdiction (not subject to further appeal) that any term or provision hereof is invalid or unenforceable, (i) the remaining terms and provisions hereof shall be unimpaired and shall remain in full force and effect and (ii) the invalid or unenforceable provision or term shall be replaced by a term or provision that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable term or provision.

17.       Jurisdiction

a.         These terms and conditions are governed by and construed in accordance with all applicable Laws of the Federal Republic of Nigeria.

18.       Transfer of Rights

a.         We may transfer our rights and obligations under this contract to another organisation and shall notify of such transfer should we decide to do so.
